Welcome to SMARTYPANT AI. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use SMARTYPANT AI.

If you disagree with any part of these Terms, you may not access or use our service. Your continued use of SMARTYPANT AI constitutes your acceptance of these Terms.

2. Service Description

SMARTYPANT AI is an AI-powered social media content generation and scheduling service that helps users create and manage posts across various social media platforms including but not limited to Twitter/X, LinkedIn, and Instagram.

Our service includes:

• AI-generated content based on your company profile and instructions
• Scheduling posts across multiple social media platforms
• Image generation for social media content
• Custom post creation and management
• Social media platform integration and authentication

3. Account Registration and Security

When you create an account with SMARTYPANT AI, you must provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You agree to:

• Create a strong password and keep it confidential
• Notify us immediately of any unauthorized access or use of your account
• Ensure that you log out from your account at the end of each session
• Take responsibility for all activities that occur under your account

We reserve the right to disable or terminate your account if we have reason to believe your account security has been compromised or if you have violated these Terms.

4. Content Ownership and Responsibilities

You retain ownership of all content created using our service. However, you grant SMARTYPANT AI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving our services.

You are solely responsible for:

• Reviewing all AI-generated content before publishing
• Ensuring the content does not violate any third-party rights
• Compliance with all applicable laws and regulations regarding the content you publish
• Any consequences that may arise from publishing content through our service

5. Social Media Platform Integration

SMARTYPANT AI integrates with various third-party social media platforms. By using these integrations, you:

• Authorize SMARTYPANT AI to access and interact with your social media accounts on your behalf
• Agree to comply with the terms of service of each individual social media platform
• Acknowledge that platform policy changes may affect our service's functionality
• Understand that we have no control over the policies and practices of third-party platforms
• When connecting a LinkedIn Company Page, confirm that you are an administrator of that page. By granting access, you authorize SMARTYPANT AI to act on behalf of the page strictly within the permissions you approve
• If you revoke LinkedIn access or disconnect a page, any pending posts may be canceled and related analytics data may be deleted in accordance with our Privacy Policy

6. Service Limitations and Modifications

SMARTYPANT AI is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, timely, secure, or error-free.

We reserve the right to:

• Modify, suspend, or discontinue any part of our service at any time
• Limit certain features or restrict access to parts of the service
• Establish general practices and limits concerning the use of our service
• Update the service to address security issues or add new functionality

We will make reasonable efforts to notify you of significant changes to our service.

7. Prohibited Uses

You agree not to use SMARTYPANT AI to:

• Generate or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Engage in any activity that interferes with or disrupts the service
• Attempt to gain unauthorized access to any portion of the service
• Use the service for any commercial purpose not expressly permitted by SMARTYPANT AI
• Use automated systems or software to extract data from the service (scraping)

8. Termination

We may terminate or suspend your account and access to SMARTYPANT AI immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination:

• Your right to use the service will immediately cease
• We may delete or archive your account information and content
• Any provisions of these Terms that by their nature should survive termination shall survive termination

9. Intellectual Property

SMARTYPANT AI and its original content, features, and functionality are owned by BOSETEIN UG and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Modify, reproduce, or create derivative works based on our service
• Frame or mirror any part of our service without our prior written consent
• Use any meta tags, hidden text, or other similar devices containing our name or trademarks
• Use our logos, product names, or branding without our express permission

10. Limitation of Liability

In no event shall BOSETEIN UG, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of SMARTYPANT AI after we post changes to these Terms constitutes your acceptance of those changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
